End User Licensing Agreement

Block Harbor Cybersecurity ("us", "we", or "our") operates the https://vsec.blockharbor.io website (the "Service"). The Service is also known as the Vehicle Security Engineering Cloud ("VSEC"). There are both paid and free cybersecurity applications hosted on VSEC (the "Blocks"). VSEC includes Blocks, other website features, associated software components, and media (the "Services"). These Terms of Use ("Terms") govern your use of our website and Services.

Please read these Terms carefully, and contact us if you have any questions, requests for information, or complaints. By checking the box and agreeing to our terms of use (or for those who have not yet created an account, by using our Services), you agree to be bound by these Terms, including the policies referenced in these Terms. By using our Services, you agree to be bound by these Terms, including the policies referenced in these Terms. If you do not agree to the terms of this agreement, do not access or use the VSEC website, or any of Block Harbor Cybersecurity's content.

The Vehicle Security Engineering Cloud (VSEC) is protected by copyright laws and international copyright treaties, as well as other intellectual property laws and treaties.

Any violation of our Terms, applicable laws, or Policies may result in your access to all or part of the Services being suspended, disabled, or terminated.

1. GRANT OF LICENSE.


The Vehicle Security Engineering Cloud (VSEC) is licensed as follows:

Block Harbor Cybersecurity grants you the non-exclusive, non-assignable, non-transferable, limited right to login and access the Vehicle Security Engineering Cloud (VSEC). These terms are binding for both free users and paid users of the Vehicle Security Engineering Cloud (VSEC) alike. You must access Vehicle Security Engineering Cloud (VSEC) on your computer running a valid Internet Browser [e.g., Google Chrome or FireFox].

2. DESCRIPTION OF OTHER RIGHTS AND LIMITATIONS.


  1. You must use a valid e-mail address and create a username during the registration process.
  2. If you are less than 18 years old, you may not use the VSEC without written parental consent. By registering for VSEC access, you are indicating that you have the capacity to understand this entire agreement. Block Harbor Cybersecurity will not be held liable for any loss or damage for non-compliance.
  3. Privacy Policy. You must be aware of our Privacy Policy for the Vehicle Security Engineering Cloud (VSEC).
  4. Distribution. You may not distribute your access credentials [e.g. username and password] of the Vehicle Security Engineering Cloud (VSEC) to any third parties.
  5. Reproduction. You may not reproduce, transfer, sell, resell, or otherwise misuse any content from our Services, unless specifically authorized to do so.
  6. Prohibition on Reverse Engineering, Decompilation, and Disassembly. You may not reverse engineer, decompile, or disassemble the Vehicle Security Engineering Cloud (VSEC).
  7. Sharing. You may not share your license nor connect tokens without permission.
  8. Selling. You may not sell your account, your license nor any connect tokens.
  9. Interference. You may not try to interfere with any user, host, or network, for example by sending a virus, overloading, spamming, or mail-bombing.
  10. Misrepresentation. You may not impersonate or misrepresent your affiliation with any person or entity.
  11. Support Services. Block Harbor Cybersecurity may provide you with support services related to the Vehicle Security Engineering Cloud ("Support Services"). Any supplemental software code provided to you as part of the Support Services shall be considered part of the Vehicle Security Engineering Cloud (VSEC) and subject to the terms and conditions of this agreement.
  12. Compliance with Applicable Laws. You must comply with all applicable laws, regulations, rules, and legal requirements. You agree to indemnify Licensor from liability if you violate any such laws or regulations.

3. PAID SERVICES.


Block Harbor Cybersecurity offers paid Services through the Vehicle Security Engineering Cloud (VSEC) for a fee.Unless otherwise stated, fees are quoted in local currency.You are responsible for paying all fees charged by or for Block Harbor Cybersecurity and applicable taxes in a timely manner with a payment mechanism associated with the applicable paid Services.If your payment method fails or your account is past due, we may collect fees using other collection mechanisms.Fees may vary based on your location and other factors, and Block Harbor Cybersecurity reserves the right to change any fees at any time at its sole discretion.Any change, update, or modification will be effective immediately upon posting through the relevant Services.

4. ENTERPRISE TERMS OF USE.


Once any and/or all content/Services/Blocks are licensed, you are authorized to access it via the Vehicle Security Engineering Cloud (VSEC) for a specified period (the "License Term") and use it to train the specified number of employee's stated in the license agreement on the content/Services/Blocks.You may not re-sell or distribute ANY content or ANY Services or ANY connect tokens in any other way to any third party.

The authorization to access the Vehicle Security Engineering Cloud (VSEC) includes the specific rights to:

  1. View or preview licensed content/Services/Blocks.
  2. Track employee progress within the VSEC website.
  3. Set your company data and generate connect tokens (as licensed).
  4. Download your company data.

Your right to use the Vehicle Security Engineering Cloud (VSEC) and any content/Services/Blocks shall cease on the expiration of the License Term. Any data stored by the Vehicle Security Engineering Cloud (employee information) will be completely deleted from the VSEC within 30 days after the license expires.

You are bound by any license and/or contract signed with Block Harbor Cybersecurity, and must abide by the terms stated in each. By accepting this license, you acknowledge that any noncompliance will result in the termination of the authorized use(s) granted above.

5. TERMINATION.


Without prejudice to any other rights, Block Harbor Cybersecurity may terminate this agreement at any time, and for any or no reason.

6. MODIFYING OR TERMINATING OUR SERVICES.


We are constantly changing and improving our Services. We may add or remove functions, features, or requirements, and we may suspend (to the extent allowed by applicable law) or stop part of our Services altogether. Accordingly, Block Harbor Cybersecurity may terminate your use of any Service for any or no reason. We may not be able to deliver the Services to certain regions or countries for various reasons, including due to applicable export control requirements or internet access limitations and restrictions from governments. None of Block Harbor Cybersecurity, and their employees, contractors, and other agents shall have any liability to you for any such action. You can stop using our Services at any time, although we'll be sorry to see you go.

7. INTELLECTUAL PROPERTY.


All content in and to the Vehicle Security Engineering Cloud (VSEC) and any copies thereof are owned by Block Harbor Cybersecurity or its partners. All title and intellectual property rights in and to the content (including all corrections, enhancements, or other modifications made thereto) which may be accessed through use of the Vehicle Security Engineering Cloud (VSEC) is the property of the respective content owner and is protected by applicable copyright or other intellectual property laws and treaties. This agreement grants you no rights to use such content. All rights not expressly granted are reserved by Block Harbor Cybersecurity.

8. DISCLAIMER OF WARRANTY.


DISCLAIMER OF WARRANTY AND LIMITATION OF LIABILITY. THE CONTENT/SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE,"WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ALL WARRANTIES, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT ARE DISCLAIMED. THE ENTIRE RISK ARISING OUT OF THE USE OF THE LICENSED CONTENT/SERVICES REMAINS WITH CLIENT. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL BLOCK HARBOR CYBERSECURITY OR ANY OTHER PARTY BE LIABLE FOR ANY CONSEQUENTIAL, INCIDENTAL, INDIRECT, SPECIAL, PUNITIVE, OR OTHER DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, LOSS OF BUSINESS INFORMATION, OR OTHER PECUNIARY LOSS) ARISING OUT OF THIS LICENSE OR THE USE OF OR INABILITY TO USE THE LICENSED CONTENT/SERVICES. THE ENTIRE LIABILITY OF BLOCK HARBOR CYBERSECURITY OR ANY OTHER PARTY WITH RESPECT TO THIS LICENSE OR THE USE OF OR INABILITY TO USE THE LICENSED CONTENT/SERVICES SHALL BE LIMITED TO THE TOTAL AMOUNT OF FEES PAID BY CLIENT FOR THE LICENSED CONTENT/SERVICES.

BY ACCESSING OR USING THE SERVICE YOU REPRESENT AND WARRANT THAT YOUR ACTIVITIES ARE LAWFUL IN EVERY JURISDICTION WHERE YOU ACCESS OR USE THE SERVICE.

9. REVISIONS TO THE TERMS.


We reserve the right to revise the Terms at our sole discretion at any time. Any revisions to the Terms will be effective immediately upon posting by us. For any material changes to the Terms, we will take reasonable steps to notify you of such changes, via a banner on the website, email notification, another method, or combination of methods. In all cases, your continued use of the Services after publication of such changes, with or without notification, constitutes binding acceptance of the revised Terms.
